These Terms of Service (“Terms”) govern access to the Asymmetric AI Solutions public website and general use of our commercial offerings, including evaluation access to Civil Environment Navigator, our flagship COTS platform for civil environment analysis.
These Terms do not replace negotiated agreements. If you purchase or deploy our software under a license agreement, contract, task order, or other signed instrument, that document controls for the covered products and services. For U.S. government acquisitions, applicable FAR/DFARS clauses and agency supplements are incorporated as stated in the governing contract.
Asymmetric AI Solutions (CAGE XXXXX) develops and licenses COTS software and provides software engineering, systems integration, and mission-support consulting to U.S. government, allied, and commercial customers.
Our offerings may include product licenses, maintenance and support, professional services, pilot deployments, and custom integrations. Specific deliverables, service levels, hosting model, and pricing are defined in the applicable quote, license schedule, or contract.
Subject to payment of applicable fees and compliance with these Terms or a superseding license agreement, we grant authorized users a limited, non-exclusive, non-transferable, revocable license to use Civil Environment Navigator and related documentation solely for internal business or official government purposes.
Access to licensed environments is limited to authorized personnel. Customer organizations are responsible for provisioning, reviewing, and deprovisioning user accounts in accordance with their internal security policies and applicable program requirements.
You agree to use our website and products lawfully and in a manner consistent with their intended operational purpose. Prohibited conduct includes:
You retain ownership of data you submit, upload, or generate through licensed use of our products (“Customer Data”), subject to third-party rights in underlying source materials. You grant us a limited license to host, process, transmit, backup, and display Customer Data solely to provide and support the licensed services.
You are responsible for determining whether Customer Data includes CUI, export-controlled information, or other restricted categories, and for ensuring that deployment architecture, markings, and user access align with applicable policy. We do not provide legal or classification determinations through this website.
When products or services are acquired under a U.S. government contract, task order, or other official procurement instrument, the terms of that instrument—including applicable FAR, DFARS, and agency clauses—take precedence over these Terms to the extent of any conflict.
Prime contractors and integrators remain responsible for flow-down obligations to subcontractors and for ensuring that end-user access complies with program security and authorization requirements.
We retain all right, title, and interest in Civil Environment Navigator, associated models, documentation, interfaces, trademarks, and pre-existing materials. No ownership transfers except as expressly stated in a signed agreement.
Suggestions, feedback, or enhancement requests may be used by us without restriction or compensation, unless otherwise agreed in writing under a funded development contract.
Open-source or third-party components included in the product are licensed under their respective terms and identified in applicable documentation.
Production licenses may include software maintenance, defect remediation, and periodic updates as described in the applicable support exhibit or contract. We may release patches, security fixes, and feature updates that are necessary for secure operation.
Scheduled maintenance, emergency changes, or end-of-life notifications will be communicated through channels defined in the customer agreement. Beta, preview, or pilot features may change or be withdrawn without notice.
Each party may receive non-public business, technical, or program information from the other. The receiving party will use such information only for the permitted purpose and protect it with reasonable care. Standard exceptions apply for publicly available information, independent development, and lawful disclosure.
Program-specific confidentiality, non-disclosure, and need-to-know requirements under government contracts supplement these general obligations.
Except as expressly warranted in a signed agreement, website content and standard product access are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.
Civil Environment Navigator supports analysis, planning, and reporting workflows. It does not replace commander judgment, legal review, classification decisions, or formal staff processes. Users remain responsible for validating outputs and for operational employment of the system.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption. Our aggregate liability under these Terms is limited to fees paid for the specific offering giving rise to the claim during the twelve (12) months before the event, or one hundred U.S. dollars ($100) for unpaid evaluation access.
Government contract liability, if any, is governed by the applicable acquisition regulations and negotiated contract terms rather than this website language.
We may suspend or terminate website access or evaluation licenses for breach, security risk, misuse, or export-control concerns. Paid licenses terminate according to their license term and contract provisions. Upon termination, authorized access ends and Customer Data handling follows the applicable agreement regarding return or destruction.
These Terms are governed by the laws of the State of Missouri, excluding conflict-of-law principles, except where U.S. federal law applies to government contract performance. Venue for disputes arising solely from these Terms lies in state or federal courts located in St. Louis, Missouri, unless a signed customer agreement specifies otherwise.
